Terms of use

These Terms of Use ("Terms") govern your access to and use of the websites, applications, browser extensions, and SMS messaging services operated by Synaxis, LLC ("Synaxis," "we," "us," or "our") (collectively, the "Services"). Current Services include synaxis.ai, Authexis (authexis.app), Eclectis (eclectis.app), Diktura (diktura.com), Textorium (Apple App Store), Scholexis (scholexis.app), and Kit (our household meal-planning assistant).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who we are

Synaxis, LLC is a Georgia (USA) limited liability company.

2. Eligibility and accounts

You must be at least 13 years old to use the Services. Scholexis is designed for high school and college students; users under 13 are not permitted.

Some features require creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. The nature of the services

Synaxis operates a portfolio of content, productivity, and communication products:

• Authexis — a voice-first content production platform that helps users plan, draft, refine, and distribute content.
• Eclectis — a personal content intelligence service that discovers, scores, and summarizes articles and sources.
• Diktura — a customer interaction hub (changelog, roadmap, feedback, support) for product teams.
• Textorium — a native editor for static-site content, distributed on the Apple App Store.
• Scholexis — an academic task manager for students.
• Kit — an AI-powered household meal-planning assistant accessible via email and SMS.

Our Services provide suggestions, generated text, organizational support, and workflow assistance. You retain full control over whether any output is used, published, modified, or deleted. You are solely responsible for reviewing, approving, and publishing content before it goes anywhere outside the Services.

The Services do not provide professional, legal, medical, financial, or other regulated advice, and should not be relied upon as a substitute for human judgment.

4. AI-generated content

Our Services use AI models (including those provided by Anthropic, OpenAI, and Google) to generate text, transcriptions, and other output. AI output may be inaccurate, incomplete, biased, or inconsistent.

You are responsible for reviewing AI-generated output before acting on it or publishing it. Synaxis makes no representation or warranty as to the accuracy, correctness, or fitness of any AI-generated output for any particular purpose.

We do not use your content to train AI models. AI providers we work with process your content under agreements that prohibit training on our traffic. See our Privacy Policy for details.

5. SMS messaging terms (Kit)

If you opt in to receive SMS messages from Kit, these additional terms apply:

• You consent to receive recurring messages from Kit at the phone number you provide. Consent is not a condition of any purchase.
• Message and data rates may apply. Your mobile carrier determines those rates; Synaxis does not charge for SMS.
• Kit sends approximately 9–12 messages per subscriber per week (weekly preference check, shopping confirmation, daily "tonight's meal" reminder).
• Reply STOP to any Kit message to opt out. Reply HELP for support.
• Delivery is not guaranteed. Synaxis is not liable for undelivered, delayed, or misdirected messages, including those caused by carrier outages, mobile device issues, or phone-number changes.
• You must own or have authorization to use the phone number you provide.

6. User content

You retain ownership of any content you submit, upload, record, or create using the Services ("User Content"), including voice recordings, text, images, uploaded files, and SMS replies.

By using the Services, you grant Synaxis a limited, non-exclusive, worldwide license to host, store, process, transmit, and display User Content solely for the purpose of operating and providing the Services to you.

We do not use User Content to train AI models. We do not sell User Content.

7. Acceptable use

You agree not to:

• Use the Services for unlawful purposes
• Upload content that infringes intellectual property rights or violates privacy
• Attempt to reverse engineer, scrape, or misuse the Services
• Interfere with or disrupt the Services or related systems
• Use the Services to generate or distribute harmful, deceptive, abusive, or illegal content
• Use our SMS Services to message anyone other than yourself or someone who has opted in through the disclosed consent flow
• Impersonate any person or misrepresent your affiliation with anyone

We reserve the right to suspend or terminate access for violations of these Terms.

8. Payments and subscriptions

Certain features may be offered on a paid basis. Payments are processed through third-party providers such as Stripe and, for Textorium, Apple's App Store. Pricing, billing terms, and subscription details will be disclosed at the time of purchase.

All fees are non-refundable unless otherwise stated or required by law. For App Store purchases, refunds are handled by Apple according to its policies.

9. Apple App Store terms (Textorium)

Textorium is distributed through the Apple App Store. Your download and use of Textorium is also subject to Apple's Licensed Application End User License Agreement. In the event of any conflict between these Terms and Apple's EULA with respect to Textorium, Apple's EULA controls for the conflicting provision.

Apple is not a party to these Terms and is not responsible for Textorium or any claims you or any third party may have relating to it, except to the extent required under Apple's EULA.

10. Intellectual property

The Services — including software, design, text, graphics, and logos — are owned by Synaxis or its licensors and are protected by intellectual property laws.

These Terms do not grant you any rights to use Synaxis trademarks or branding without prior written permission.

11. Third-party services

The Services integrate with and rely on third-party providers (hosting, AI model providers, payment processors, SMS carriers, analytics, email delivery, and others). Synaxis is not responsible for the content, policies, or practices of third parties. Your use of third-party services accessed through our Services is governed by those third parties' own terms and policies.

12. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or meet your specific requirements. AI-generated output is provided without warranty of accuracy or fitness.

13. Limitation of liability

To the maximum extent permitted by law, Synaxis shall not be liable for indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services, including but not limited to lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or related to these Terms or the Services shall not exceed the amount you paid to Synaxis in the twelve months preceding the claim, or one hundred US dollars, whichever is greater.

14. Indemnification

You agree to indemnify and hold harmless Synaxis and its officers, employees, and affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your User Content, or your misuse of the Services.

15. Termination

You may stop using the Services at any time. For SMS, reply STOP to opt out. For account-based Services, delete your account from within the product or contact us.

We may suspend or terminate access to the Services at our discretion, including for violations of these Terms. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnification) will survive.

16. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and post the updated Terms on this page. Material changes will be communicated through the affected product or by email where appropriate. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

17. Governing law and dispute resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Georgia, and you consent to the personal jurisdiction of those courts.
