These Terms of Use ("Terms") govern your access to and use of the websites, applications, and services operated by Synaxis, LLC ("Synaxis," "we," "us," or "our"), including synaxis.ai and authexis.app (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who we are

Synaxis, LLC is a Georgia (USA) limited liability company.

2. Eligibility and accounts

You must be at least 13 years old to use the Services.

Some features, particularly within Authexis, require creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. The nature of the services

Authexis is a content-support and productivity tool designed to assist users in creating, refining, and managing content. The Services provide suggestions, organizational support, and workflow assistance.

You retain full control over whether content is used, published, modified, or deleted. You are solely responsible for any content you choose to publish, distribute, or act upon.

The Services do not provide professional, legal, medical, financial, or other regulated advice, and should not be relied upon as a substitute for human judgment.

4. User content

You retain ownership of any content you submit, upload, or create using the Services ("User Content").

By using the Services, you grant Synaxis a limited, non-exclusive, worldwide license to host, store, and process User Content solely for the purpose of operating and providing the Services.

We do not use User Content to train AI models.

5. Acceptable use

You agree not to:

• Use the Services for unlawful purposes
• Upload content that infringes intellectual property rights
• Attempt to reverse engineer or misuse the Services
• Interfere with or disrupt the Services or related systems
• Use the Services to generate or distribute harmful or abusive content

We reserve the right to suspend or terminate access for violations of these Terms.

6. Payments and subscriptions

Certain features may be offered on a paid basis. Payments are processed through third-party providers such as Stripe. Pricing, billing terms, and subscription details will be disclosed at the time of purchase.

All fees are non-refundable unless otherwise stated.

7. Intellectual property

The Services, including software, design, text, graphics, and logos, are owned by Synaxis or its licensors and are protected by intellectual property laws.

These Terms do not grant you any rights to use Synaxis trademarks or branding without prior written permission.

8. Third-party services

The Services may integrate with or rely on third-party services. Synaxis is not responsible for the content, policies, or practices of third parties.

9. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied.

We do not guarantee that the Services will be uninterrupted, error-free, or meet your specific requirements.

10. Limitation of liability

To the maximum extent permitted by law, Synaxis shall not be liable for indirect, incidental, consequential, or special damages arising out of or related to your use of the Services.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access to the Services at our discretion, including for violations of these Terms.

12. Changes to these terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.
